Terms of Service

1. Who we are and what these Terms cover

These Terms govern your use of Praesidia: the web app (app.praesidia.ai), the API (api.praesidia.ai), the MCP server (mcp.praesidia.ai), the model gateway (gateway.praesidia.ai) and the published SDKs (together, the "Service"). The Service is provided by Squad Technology SRL, registered in Cluj-Napoca, Romania (Trade Register no. J12/5539/2023, Tax ID / CUI 49317363) ("Praesidia", "we", "us").

The Service is for business use. If you accept these Terms for an organization, you confirm that you are authorized to bind it, and "you" means that organization. If you do not agree to these Terms, do not use the Service.

If your organization has signed an order form or agreement with us, that document takes precedence over these Terms where they conflict.

2. Accounts

• Give accurate registration information and keep your credentials secure. You are responsible for activity under your account, including activity by the API keys, service accounts and agents you create.
• Organization owners control the organization's membership, roles and API keys.
• When you sign up, we record which version of these Terms and of the Privacy Policy you accepted. You can see your acceptances in your account.

3. Plans, trials and billing

• Plans and their limits are those shown on the pricing page when you subscribe, or in your order form. The Developer plan is free of charge. When an organization reaches a plan limit, further requests of that kind are declined until the limit resets or the plan changes.
• New organizations may receive a time-limited trial of paid features.
• Fees, billing period and currency are those stated at checkout or in your order form. Prices exclude taxes, which are calculated when you pay. Payments are processed by Stripe.
• When your organization uses its own model provider key, that provider bills you directly. Use of the platform's configured model connection is subject to the limits of your plan or order form.
• Budget caps you configure are enforced by the Service, but they are an operational control, not a guarantee of maximum spend with a third-party provider.

4. Your content

• "Customer Content" means the data you, your users or your agents submit to the Service: agent and MCP-server records, tasks, traces, prompts and responses through the gateway, documents, policies and audit records.
• You keep all rights in Customer Content. You grant us a limited right to host, process and transmit it only to provide, secure and support the Service for you.
• We process personal data in Customer Content as your processor. Our Privacy Policy describes the data we handle. Business customers can request our Data Processing Agreement from legal@praesidia.ai.
• The Service keeps a signed, hash-chained audit trail. Audit records are kept after an account or organization is deleted so the trail stays verifiable; personal details in them are removed on an erasure request, as the Privacy Policy describes.

5. Third-party services you connect

The Service forwards requests to the model providers, MCP servers, identity providers and other systems you configure. Your agreements with those providers govern your use of them. We are not responsible for their availability, output or data handling. When you use your own provider key, requests go to that provider under your account with it.

6. Acceptable use

You will not:

• access another organization's data, or attempt to bypass tenant isolation, authentication, rate limits, plan limits or guardrails;
• use the Service to build or operate AI systems prohibited under Article 5 of the EU AI Act (Regulation (EU) 2024/1689), or for any other unlawful purpose;
• send malware, run denial-of-service traffic, or probe the Service except as our vulnerability disclosure policy allows;
• resell or white-label the Service without our written agreement.

We may suspend access that breaches this section or threatens the Service or other customers, with notice where practical.

7. Your compliance responsibilities

Praesidia provides tooling for governance, verification, guardrails and compliance evidence, including EU AI Act classification and reporting. It does not make your AI systems compliant. You remain responsible for your obligations as a provider or deployer under the EU AI Act, the GDPR and other law. Compliance reports and readiness scores are aids to your own assessment, not legal opinions.

8. Preview and disabled features

Some capabilities are marked preview or experimental, are available only where enabled, or are switched off in the hosted Service. Preview features are provided as they are, may change or be withdrawn, and are excluded from any service-level commitment.

9. Availability and support

We work to keep the Service available, but no service-level commitment applies unless one is agreed in a signed agreement with your organization. For support, use the contact page.

10. Security

We maintain the security measures described on our Security page. If a security incident affects your data, we notify you without undue delay. Report vulnerabilities to security@praesidia.ai.

11. Intellectual property and feedback

We own the Service, including its software, documentation and trademarks. Praesidia is proprietary, commercially licensed software. The audit verifier and the client SDKs carry permissive open-source licences (Apache-2.0 and MIT). The TypeScript SDK and audit verifier source are available in public Praesidia repositories; contact us for packaged distribution. Open-source components are governed by their own licenses. If you send us feedback, we may use it without obligation to you.

12. Ending your use and your data

• You can stop using the Service at any time. Organization owners can export organization data and then delete the organization; you can delete your own account from your profile in the app.
• We may suspend or end your access for a material breach of these Terms, after notice where practical, or immediately for a breach of section 6.
• When an account is deleted we erase its account data from the live service. Audit records are kept as described in section 4 and the Privacy Policy. Deleted data can remain in backups until they expire.

13. Disclaimers

Except as expressly stated in these Terms or in a signed agreement, the Service is provided "as is" and "as available". AI outputs, guardrail decisions, trust scores and risk classifications can be wrong; review them before you rely on them.

14. Limitation of liability

To the extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, arising from your use of the Service. Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, such as liability for intent or gross negligence.

15. Changes to these Terms

We may update these Terms. We publish the new version here, update the date at the top, and tell account holders about material changes by email or in the app before they take effect. The app records which version you accepted.

16. Applicable law and disputes

Mandatory law that protects you continues to apply. If a dispute arises, write to legal@praesidia.ai first; we will try to resolve it with you in good faith.
